These Terms of Use apply to your use of the SMMARUN website at smmarun-site.vercel.app and the apex domain smmarun.ai. By accessing the site you accept them as a binding agreement under section 10A of the Information Technology Act 2000 and Article 6 of the UN Convention on the Use of Electronic Communications in International Contracts 2005. Engagements with SMMARUN are governed separately by signed service agreements.

Reading this site does not create a client, contractual, or fiduciary relationship between you and SMMARUN. Engagements are governed by signed service agreements. Nothing on this site is an offer to contract or a commitment to engage.

It is not legal, regulatory, tax, medical, clinical, or financial advice, and should not be relied on as such. Acceptable use
You agree not to:
- Use the site in a way that breaches Indian law (including the IT Act 2000, the IT Rules 2021, the DPDPA, the Bharatiya Nyaya Sanhita 2023, or applicable consumer-protection law).
- Attempt unauthorised access, automated scraping at scale, denial-of-service, or interference with the site's operation.
- Misrepresent yourself or another person when filling in any form.
- Use any content for the training, fine-tuning, evaluation, indexing (including for retrieval-augmented generation), or operation of AI models, training datasets, or competing services without our prior written consent. This prohibition is expressed as a TDM-reservation under Article 4(3) of Directive 2019/790 (EU DSM Directive), and also by machine-readable means in
/robots.txt,/ai.txt, and Schema.orgcopyrightmetadata. - Attempt to reverse engineer, decompile, or extract underlying ideas or algorithms of the site.
- Circumvent accessibility features.
Forms and submissions
When you submit a Begin a conversation form or request a paper, the content you provide is processed under our Privacy Notice. By submitting, you confirm that the information is accurate, that you have authority to provide it, and that we may contact you at the address provided to respond. You grant SMMARUN a limited, royalty-free, non-exclusive, non-transferable licence to use the submission for the purpose of responding and (if engagement results) performing it.
Third-party links
The site links to third-party websites (partner pages, source citations, journals, regulator pages). We are not responsible for the content, practices, or privacy approaches of those sites; we link to them as references, not endorsements.
Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. Nothing in this section excludes (a) statutory consumer rights under the Consumer Protection Act 2019, (b) implied terms under the Sale of Goods Act 1930 to the extent applicable, or (c) any other liability that cannot be excluded under applicable law.
Limitation of liability
To the maximum extent permitted by applicable law, SMMARUN, its partners, employees, contractors, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, goodwill, business opportunity, anticipated savings, or data, arising out of or in connection with your use of the site. Our aggregate liability is capped at three tiers:
- Tier 1 · Website tier. For any claim arising from your use of the website only, with no underlying paid engagement, our aggregate liability is capped at the higher of INR 50,000 (Indian Rupees Fifty Thousand) and USD 1,000.
- Tier 2 · Engagement tier. For any claim arising from a paid engagement, our aggregate liability is capped at the fees you have paid to us under that engagement in the twelve (12) months preceding the event giving rise to the claim.
- Tier 3 · Uncapped carve-outs. The foregoing caps do not apply, and our liability is uncapped, in respect of: (a) death or personal injury caused by our negligence; (b) fraud, wilful misconduct, or gross negligence; (c) infringement of a third party's intellectual-property rights through content we have provided; (d) breach of confidentiality of information we are required by law to keep confidential; and (e) any liability that cannot be excluded under applicable law, including statutory damages under the DPDPA, the GDPR (Article 82), the UK GDPR, the CCPA / CPRA, the Consumer Protection Act 2019, and the EU AI Act (Article 99).
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable Indian or any other applicable law.

Changes to these Terms
We may update these Terms from time to time. Material changes will be flagged on the site for at least 30 days. Continued use of the site after a change implies acceptance.
Severability
If any provision of these Terms is held by a court of competent jurisdiction or arbitral tribunal to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Force Majeure
Neither party shall be liable for failure to perform, or delay in performing, any obligation (other than payment) where the failure or delay is caused by an event beyond its reasonable control, including acts of God, pandemic, war, civil disturbance, government action, sanctions, terrorism, large-scale infrastructure or third-party-service outage, or denial-of-service attack. The affected party shall give prompt notice and use reasonable endeavours to mitigate.

Sanctions and export controls
You warrant that you are not a person subject to economic sanctions administered by the United Nations Security Council, the Government of India under FEMA 1999 and the FT(D&R) Act 1992, the US Department of the Treasury's OFAC, the European Union, the UK Office of Financial Sanctions Implementation, or any other competent authority; that you are not located in a jurisdiction subject to comprehensive sanctions; and that you will not use the site or any related services in violation of applicable sanctions or export-control laws.
Anti-bribery and anti-corruption
You undertake to comply with the Prevention of Corruption Act 1988 (as amended 2018), the US Foreign Corrupt Practices Act, the UK Bribery Act 2010, and equivalent local legislation, and warrant that you will not offer, promise, give, or accept any improper financial or other advantage in connection with any matter relating to SMMARUN.
Indemnification
Each party (the Indemnifying Party) shall defend, indemnify, and hold harmless the other party (and its affiliates, officers, employees, and contractors) from and against third-party claims, damages, and reasonable costs arising from (a) the Indemnifying Party's breach of these Terms; or (b) infringement of a third party's intellectual-property rights through content the Indemnifying Party has provided. Indemnification is subject to the liability framework in section 8.
AI Use Disclosure
Where SMMARUN deploys an AI system that interacts with you on the site (for example, a chatbot or AI-assisted search), we will inform you that you are interacting with an AI system, as required by Article 50 of Regulation (EU) 2024/1689 (the EU AI Act), and will provide information about the system's purpose and limitations. Entire agreement; No waiver; Assignment; Survival
- These Terms (together with the Privacy Notice and Cookie Policy incorporated by reference) constitute the entire agreement between you and SMMARUN concerning your use of the site and supersede any prior representations.
- Failure or delay by SMMARUN in enforcing any right is not a waiver of that right.
- You may not assign these Terms; SMMARUN may assign to a successor in connection with a merger, restructuring, or sale of substantially all its business.
- Section 3 (IP), section 8 (Liability), section 13 (Notices), section 14 (Sanctions), section 15 (Anti-bribery), section 16 (Indemnification), section 19 (Governing law and dispute resolution), and any other provision that by its nature should survive, will survive termination of your use of the site.
Governing law and dispute resolution
These Terms, and any dispute arising from or related to them, are governed by the laws of India without regard to its conflict-of-laws principles. The parties will attempt in good faith to resolve any dispute through negotiation for thirty (30) days; failing that, through mediation under the Mediation Act 2023; failing that, through arbitration under the Arbitration and Conciliation Act 1996, seat New Delhi, conducted under the Arbitration Rules of the India International Arbitration Centre by a sole arbitrator, in English. Either party may seek interim or injunctive relief from any court of competent jurisdiction without breaching this dispute-resolution ladder. Subject to the foregoing arbitration agreement, the courts of Gurugram, Haryana, India have exclusive jurisdiction. SMMARUN does not direct its activities at consumers in the European Economic Area, the United Kingdom, or California, and is a business-to-business service.
